What does a turnkey manufacturer actually own?

A lead contractor can coordinate development and finished goods, but the contract must define owned steps, subcontractors and the brand’s responsibilities.

Turnkey is a delivery arrangement, not one fixed standard

Some manufacturers provide formulation, sourcing, production and packaging; others rely on outside laboratories, ingredient suppliers or packaging partners for part of the work. “Turnkey” alone does not establish which steps take place at one facility or whether FD1’s quantity and timeline are feasible.

Ask the company to mark each step as in-house, subcontracted or unavailable and name the manufacturing and packaging sites. A lead partner coordinates the chain; the proposal should show both that coordination and who performs each task.

Turn “turnkey” into written responsibilities

Specify the roles of the lead contractor, in-house team, subcontractors and FD1.

A negotiation framework, not a claim that a supplier provides each service.

Make proposals comparable with one brief

Give each company the same brief: intended users, powder format, preliminary ingredient direction, samples, finished-product specifications and unresolved decisions. Ask separately about a stock formula, limited modification and a custom formula; their development scopes and prices are not interchangeable.

Request separate line items for development and samples, pilot and commercial MOQs, ingredients and packaging, manufacturing and testing, payment milestones, stage-specific lead times and delivery location. For subcontracting or substitute ingredients, ask about extra charges and who approves them.

A quality agreement needs more than “GMP compliant”

FDA guidance on US dietary supplement cGMP explains that parties in contract relationships have applicable responsibilities for the operations they perform. A distributor selling under its own label also needs to understand manufacturing activities to decide whether the product meets established specifications and make relevant release decisions. Actual responsibilities depend on the roles and agreement.

A written quality agreement should address ingredient identity, finished specifications, test methods, supplier qualification, batch records, deviations and out-of-specification results, change control, release and recall support. Specify who approves each step, when documents are provided and what an outside laboratory is responsible for.

Intellectual property and transfer terms affect future choices

Before paying development fees, ask who may own or use the custom formula, sample data, methods, trademarks and ingredient licenses. Rights can differ between stock and custom formulations; producing for a brand does not itself determine formula ownership.

Also specify delivery of the full formula and specifications, transfer conditions, treatment of ingredient inventory and approval of substitutions. Breaking rights into these items shows what information and resources can move with the project.

Finished-goods delivery and China sales are separate workstreams

A manufacturer can deliver finished goods to an agreed location, while China classification, cross-border platforms, import declarations, a domestic agent, Chinese-language information, warehousing and after-sales service may fall to other parties. Do not assume these services are included in a manufacturing quote without explicit agreement and capability checks.

Aim for two or three written proposals with comparable scope and clear costs. Compare the same fields before technical, quality and commercial review; record proposals, audits and procurement decisions as separate stages.

Review the key points
  • Identify in-house, outsourced and unavailable services.
  • Compare development fees, MOQ, cost, lead time, documentation and formula rights.
  • Finished-goods delivery does not automatically include China import, platform listing or consumer fulfillment.
